Burdensome and vague federal regulatory actions are forcing investors and broker-dealers out of small and microcap markets, resulting in the unintended consequence of harming small businesses. Without the necessary capital, these businesses are facing unmanageable costs in an already dire climate due to the COVID-19 pandemic.
The Small Public Company Coalition (SPCC) is a 501(c)(6) organization comprised of small businesses and investment firms in the small, medium, and microcap markets. Our membership represents tens of thousands of employees and job-creators alike throughout the country. The SPCC’s mission is to protect this industry from harmful government interference which ultimately suppresses growth and eliminates jobs.
Marc is responsible for leading the SPCC’s advocacy efforts and organizational structure.
For 25 years, Marc Indeglia has provided personalized counsel, representation, and advice rooted in a principled approach designed to give each client the individualized attention needed to achieve results. His private practice experience focuses on business, corporate, and securities law, and he has represented individuals, public and private companies, and a variety of financial institutions, including broker-dealers, investment banks, venture capitalists, private equity funds, and hedge funds. In the financial transactions area, he has represented parties in private placements, venture capital financings, public offerings, APOs, PIPEs, lines of credit, term loans, and other secured financings. In addition, he has negotiated M&A transactions such as mergers, acquisitions, reverse mergers, divestitures, spinoffs, reorganizations, and recapitalizations. He routinely advises clients regarding corporate governance, SEC reporting compliance, executive compensation, fiduciary obligations, ethics, and general corporate matters.
Marc also has extensive trial experience in business and securities litigation and arbitration. Known for his creative and pragmatic problem solving, he has successfully represented clients in business, investment, and contract disputes. He has also represented and defended clients in connection with civil and criminal investigations, including those brought by the Department of Justice, the U.S. Securities & Exchange Commission, FINRA, state and county prosecutors, and state securities regulators.
